Confidentiality & Non-Disclosure Agreement

1. Purpose

MAI Corporation Ltd (“MAI”, “we”, “us”) agrees to disclose confidential business and technical information solely for the purpose of evaluating a potential investment, partnership, or business collaboration.

2. Confidential Information

Confidential Information includes but is not limited to: business plans, financial data, investor materials (including pitch decks), product strategies, customer insights, code, proprietary systems, market research, and any non-public information provided in written, verbal, visual, or electronic form.

3. Obligations of the Recipient

You agree to:

• Maintain strict confidentiality of the information shared
• Use the information only for the agreed purpose
• Not disclose the information to any third party without prior written consent
• Take reasonable measures to prevent unauthorised access or misuse

4. Exclusions

This agreement does not apply to information that:

• Was already in your possession legally and without restriction
• Becomes publicly available through no fault of your own
• Is disclosed by a third party legally and without confidentiality obligations
• Is independently developed without reference to MAI’s confidential information

5. Term

This NDA shall remain in effect for 3 years from the date of access, or until the information becomes publicly available through no breach of this agreement.

6. No License or Obligation

This agreement does not grant you any rights to our intellectual property, nor does it obligate either party to enter into a transaction or partnership.

7. Governing Law

This agreement is governed by the laws of England and Wales, and any disputes shall be resolved in the courts of that jurisdiction.
